Affiliate Terms and Conditions

By signing up for the Tutor LMS Affiliate Program (the “Program”), you accept electronically (for instance, by clicking “I agree”) the following terms and conditions (the “Terms”). Please make sure to review the entire document carefully before signing up. This is a legally binding Agreement between Tutor LMS (“Tutor LMS”, “we”, “our”, or “us”) and you (the “Affiliate”, “you”, or “your”).

Violation of these Terms may result in, among other things, suspension or termination of your rights as an Affiliate.

Overview

As a Tutor LMS affiliate, you essentially join our sales team. For each referred customer that makes a purchase, you earn a commission. The more referrals, the higher your earning potential. This Agreement governs the relationship, requirements, commissions, intellectual property, limitations of liability, and other binding terms between Tutor LMS and Affiliates in the Program.

1. Registration

You must provide your legal full name, a working email address, and any other requested information while signing up for the Program. You must be 18 years of age or older to join this Program.

2. Approval or Rejection of Applications

We reserve the right to approve or reject ANY Affiliate Program Application within our sole discretion. You will not have any legal recourse against us for the rejection of your Affiliate Program Application.

3. Term of the Agreement

The Terms of this Agreement will be applied upon your acceptance into the Program and will end when your Affiliate account is terminated.

We reserve the right to update and change the Terms at any time. Any future amendments made to the Program will be subject to these Terms. Your continued participation in the Program shall count as your consent to these changes.

4. Sales Commissions

Customers must click your unique referral link to sign up and make a purchase within our cookie window (currently 90 days) to qualify you for a commission.

You’ll receive a 30% commission on the revenue from referred customers’ first purchase and commissions will be paid once a month.

Important Notes:

  • You cannot refer yourself or earn commissions on your own accounts.
  • Commissions are limited to one per referred customer (even for multiple purchases).
  • Payments are for completed transactions with the full amount. Refunds or chargebacks will not be paid out.

5. Affiliate Links and Promotions

Tutor LMS provides unique affiliate links and promotional materials for your use. You must use only approved materials and adhere to the following guidelines:

  • Clear and accurate representation of Tutor LMS products and services.
  • Transparency about your affiliate relationship.
  • Compliance with applicable state laws and guidelines regarding endorsements.
  • No misleading or deceptive advertising practices.
  • No spamming or unsolicited emails.
  • No advertising on sites containing illegal or harmful activities.
  • The use of affiliate referral links in paid advertising campaigns is strictly forbidden.

6. Terms of Affiliate Coupons Usage

Tutor LMS occasionally provides coupons to select affiliates and newsletter subscribers. Unless pre-approved or assigned a branded coupon, affiliates are prohibited from promoting unauthorized coupons. Below are the terms that apply for any affiliate who is considering the promotion of our products in relation to a deal or coupon: 

  • Affiliate Coupon Usage: Affiliates can only use authorized coupon codes provided by Tutor LMS. Creating or distributing unauthorized codes is prohibited. Please note that these coupon codes are applicable only to yearly plans.
  • Sharing Approved Codes: Approved codes can be shared through approved channels like websites and promotional materials.
  • Accurate Representation: Discounts and offers must be accurately represented. Misleading claims are prohibited.
  • No Manipulation: Activities like fraudulent sales or inflating sales figures are not allowed.
  • Coupon Updates: Every 60 days, affiliates must update their dedicated coupon code by contacting the Tutor LMS Sales Team.
  • Tutor LMS Monitoring: Tutor LMS monitors affiliate code usage for compliance. Violations may lead to suspension or termination.
  • Deal/Coupon Site Restrictions: Only pre-approved affiliates can promote branded Tutor LMS coupons. Unaffiliated promotion of deals or coupons is not allowed.
  • Promotion Methods: Approved promotion methods include:
    • Banner ads and text links
    • Content marketing (blog posts, reviews)
    • Paid search campaigns (approval required)
    • Social media marketing
  • Authorized Deal/Coupon Promotion: When promoting authorized deals or coupons, affiliates must:
    • Use accurate text aligned with the specific deal.
    • Not bid on unauthorized Tutor LMS coupon keywords.
    • Disclose deals transparently and activate cookies with user consent.
  • Prohibited Practices:
    • Implying unauthorized coupons are available.
    • Enabling cookies before users see coupon details.
    • Using pop-ups/iframes, etc., to set cookies without consent.
    • Using misleading phrases like “Click for Deal” when no deals exist.
    • Coupon site affiliation is not accepted.

7. Termination

The Affiliate’s application and Program status may be suspended or terminated for various reasons, including but not limited to:

  • Inappropriate advertisements.
  • Spamming or engaging in illegal activities.
  • Failure to disclose the affiliate relationship for endorsed promotions.
  • Violation of intellectual property rights.
  • Offering rebates or kick-backs from affiliate commissions.
  • Self-referrals, fraudulent transactions, or suspected affiliate fraud.

Tutor LMS reserves the right to terminate any Affiliate account for violations of this Agreement.

8. Limitation of Liability

Tutor LMS has no liability for indirect financial losses, makes no warranties about products/services, and does not guarantee flawless websites or affiliate programs.

9. Intellectual Property Rights

Tutor LMS owns all intellectual property rights to its products, services, and program materials. Affiliates may not utilize Tutor LMS’s trademarks or intellectual property without express written consent.

10. Pay Per Click (PPC) Policy

PPC bidding requires Tutor LMS’s prior written approval.

11. Indemnification

The Affiliate shall indemnify and hold harmless Tutor LMS and its affiliates, subsidiaries, officers, directors, employees, licensees, successors, and assigns from all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) incurred by Tutor LMS due to claims sustained in connection with this Agreement because of any negligence, misrepresentation, failure to disclose, or intentional misconduct on the Affiliate’s part.

12. Electronic Signatures Effective

The Agreement is an electronic contract that sets out the legally binding terms of your participation in the Tutor LMS affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the Tutor LMS application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.

By signing up for the Program, you indicate your acceptance of this Agreement and its terms and conditions. We reserve the right to modify this Agreement at any time.

12. Term of the Agreement

This Agreement is effective upon your acceptance and continues until terminated. Tutor LMS may terminate your account at any time for any violation of these terms or other reasons deemed necessary. You may also terminate your participation by providing written notice to Tutor LMS.
